General terms and conditions of use for Deposito Live

§ 1 Operator and scope
(1) The operator of the “Deposito Live” platform is:

(2) These terms govern the use of Deposito Live by registered users and the basic conditions for providing functions for fans, artists and organisers.
(3) Additional terms, pricing or product information may apply to individual paid offers. They are shown to the user before the relevant transaction is completed.
(4) Where an artist, organiser or other provider acts in the course of their commercial or independent professional activity, additional provider or creator terms may apply.
§ 2 Scope of Deposito’s services
(1) Deposito provides a technical platform, in particular for:
a) user and artist profiles,
b) social posts, comments and reactions,
c) music releases and digital music access,
d) Album Passes,
e) album codes,
f) events and event presentation,
g) ticket sales,
h) seating and capacity management,
i) digital tickets and admission checks,
j) payment and settlement functions.
(2) The specific functions depend on the offers actually enabled on the platform at the time.
(3) Functions merely announced, being tested or described as future functions are not an owed part of the current service scope.
§ 3 Registration and user account
(1) A user account is required for certain functions.
Registration and use of a Deposito user account are permitted exclusively for persons who have reached the age of 18.
(2) Users must provide truthful information required during registration and keep it up to date.
(3) Deposito may require verification of an email address and additional security or identity evidence.
(4) Access credentials must be kept confidential and protected against unauthorised access.
(5) A user account may include a personal profile and additional artist or organiser functions. These functions do not automatically create several independent login accounts.
(6) The user must promptly notify Deposito or use the security functions provided if there are indications of unauthorised use of their account.
§ 4 Public profiles and identities
(1) Personal user profiles are generally visible or not visible according to the privacy settings provided.
(2) Artist profiles may be maintained as public profiles.
(3) A user may act only through identities assigned to them and authorised on the server.
(4) Users cannot follow their own public identities.
(5) Using third parties’ names, images, signs or other information requires the user to be entitled to do so.
§ 5 User content
(1) Depending on the available functions, users may provide text, images, comments, music and other content.
(2) Rights to content uploaded by a user generally remain with the respective rights holder.
(3) For as long as the content is provided, the user grants Deposito the non-exclusive rights of use required to deliver the service technically.
These include, in particular, the right to technically store, process, resize, convert, transmit and display content on Deposito within the visibility selected by the user.
(4) This clause does not grant Deposito any further independent commercial exploitation of the content.
(5) The user warrants that they hold the rights required for publication.
§ 6 Prohibited content and conduct
(1) Prohibited content or actions include, in particular, those that:
a) violate applicable law,
b) infringe third-party copyright, trade mark, personality or other rights,
c) contain criminal threats or unlawful hate content,
d) are fraudulent or misleading,
e) disclose third-party personal data without authorisation,
f) contain malware or harmful technical functions,
g) constitute substantial spam or abusive automated activity,
h) circumvent security, access or payment systems.
(2) The mere fact that content is controversial, critical or unwelcome does not in itself justify a sanction.
§ 7 Reporting and moderation of content
(1) Deposito provides ways to report content that users consider illegal or contrary to the rules.
(2) Reports should identify the content as clearly as possible and explain the reason for reporting it comprehensibly.
(3) Deposito assesses reports taking account of applicable law, these terms and the rights of the affected users.
(4) Depending on the nature and severity of the violation, Deposito may, in particular:
a) remove content,
b) restrict its visibility,
c) temporarily disable individual functions,
d) temporarily restrict an account,
e) permanently suspend an account in severe or repeated cases.
(5) Measures are not taken automatically merely because another user reports content.
(6) Where required by law and a contact channel exists, Deposito informs affected users of significant moderation measures, the reasons and the available ways to review or challenge them.
§ 8 Music releases and rights
(1) Artists may publish only music and other content for which they have all necessary rights and permissions.
(2) Before publication, Deposito may require and record confirmation of rights from the provider.
(3) The provider is responsible in particular for ensuring that recordings, compositions, texts, covers, images and metadata do not infringe third-party rights.
(4) Deposito may block or remove content if there are specific indications of a rights infringement or a corresponding legal obligation.
§ 9 Permanent digital music purchase
(1) When digital music access is offered as a permanent purchase, the buyer obtains a simple, non-exclusive and non-transferable right of use for private purposes within the uses offered by Deposito.
(2) Access is not time-limited unless the offer expressly states otherwise.
(3) A permanent purchase does not automatically include delivery of a freely copyable audio file.
A file download exists only if expressly stated in the relevant offer.
(4) The buyer’s statutory rights remain unaffected.
§ 10 Album Pass
(1) An Album Pass grants full digital access to the album concerned for the period stated at purchase.
(2) Full access granted by the pass ends automatically when that period ends.
(3) An Album Pass is a time-limited digital right of use and does not transfer ownership of audio files.
(4) A further purchase may extend the access period according to the rules stated in the offer.
§ 11 Album codes
(1) Artists may provide album codes redeemable once.
(2) A valid redeemed code may give the user permanent digital access to the corresponding album.
(3) A code may be used only once and according to its applicable conditions.
(4) A code does not create a right to a file download unless expressly offered.
§ 12 Deposito’s role in third-party offers
(1) Deposito provides technical intermediation, sales, payment, invoicing and delivery functions for artists’ and organisers’ offers.
(2) Before the contract is concluded, the economic seller or organiser responsible for the offer is identified according to the available product information.
(3) Unless Deposito is expressly identified as the seller or organiser itself, the contract for the product or event is concluded between the buyer and the specified provider.
(4) Deposito may carry out individual technical processes, in particular payment processing, invoicing, ticket delivery or reversals, on behalf of or for the account of the relevant provider.
(5) The provider declares to Deposito their trader status applicable to the offer.
Where required by law, Deposito informs consumers before the contract is concluded whether the provider is a trader according to their own declaration.
§ 13 Events and tickets
(1) Unless expressly stated otherwise, the respective organiser is the contracting party for attendance at the event.
(2) Tickets may be offered in particular as:
a) tickets with free seating, or
b) tickets with a specific reserved seat.
(3) With reserved seating, a specific seat is assigned to the ticket according to the seating plan and reservation logic.
(4) Free seating creates no entitlement to a particular seat unless expressly stated otherwise.
(5) Digital tickets are provided with individual proof of entitlement, in particular a QR code.
(6) Tickets already used, invalid, refunded or not belonging to the relevant event may be rejected at admission.
§ 14 Cancellation and rescheduling of events
(1) The identified organiser is generally responsible for holding an event.
(2) In the event of cancellation or rescheduling, claims arising from the event contract are generally directed against that organiser unless the law provides otherwise.
(3) Deposito may support technical reversals and communication.
(4) The specific refund depends on the event concerned, statutory requirements and validly agreed conditions.
§ 15 Ticket transfer
(1) A ticket may be transferred to another user only if Deposito expressly provides the relevant technical function and the event allows transfer.
(2) Merely sending a screenshot or copy of a QR code does not technically change the ticket holder.
(3) Further transfer rules will be announced separately before a transfer function is enabled.
§ 16 Prices and ordering
(1) The applicable total price and essential product or service characteristics are displayed before a paid order is placed.
(2) Additional mandatory price components, if any, are disclosed before ordering.
(3) The user submits their contractual declaration with an obligation to pay through an appropriately and unambiguously labelled ordering process.
(4) The specific conclusion of the contract depends on the offer displayed in the respective checkout and the identified contracting party.
(5) Prices on Deposito are calculated on the server. Client-side display values do not create any right to technically manipulated pricing.
§ 17 Provider fees
(1) Deposito may charge fees for sales, ticketing or other paid platform services.
(2) The applicable fees are displayed to the provider before the paid offer is activated or carried out, or defined in the applicable provider terms.
(3) Historical transactions are not recalculated retrospectively merely because the fee structure changes later.
§ 18 Payment processing
(1) Payments may be processed through external payment service providers, in particular Stripe.
(2) The payment service provider may impose its own statutory verification, identification or security requirements during payment processing.
(3) Deposito does not process full payment card details where the payment process used collects them directly through the payment service provider.
(4) A provider may be required to open their own payment account with the relevant payment service provider for payouts and complete the required identity or business checks.
§ 19 Obligations of artists and organisers
(1) Artists and organisers must keep their business-relevant information truthful and up to date.
(2) This may include, in particular:
a) name or company name,
b) address,
c) trader status,
d) tax information required,
e) invoicing information,
f) payment and payout configuration.
(3) Providers are themselves responsible for:
a) the legality of their offers,
b) the necessary rights to music and media,
c) actually holding their events,
d) the accuracy of their event and product information,
e) fulfilling their statutory obligations to buyers.
(4) Deposito may block a paid offer if necessary legal, tax, identity or payment information is missing.
§ 20 Right of withdrawal — general rule
(1) Consumers may have statutory rights of withdrawal for distance contracts.
(2) Whether a right of withdrawal exists and the conditions under which it expires or is excluded depend on the contract type and statutory provisions.
(3) Where a right of withdrawal exists, the legally required information and withdrawal options are provided in the relevant contracting process.
§ 21 Tickets for events on specified dates
Contracts for services related to leisure activities scheduled for a specific date or period generally carry no right of withdrawal under statutory provisions.
This regularly applies to admission tickets for events on specified dates.
Other statutory claims, for example in connection with cancellation, remain unaffected.
§ 22 Digital content and immediate delivery
(1) Where a statutory right of withdrawal exists for digital content and the user wishes delivery to begin before the withdrawal period ends, the required express consent is obtained during ordering.
(2) Where required by law, the user also confirms awareness that their right of withdrawal may expire when performance of the contract begins.
(3) The required declarations cannot be replaced solely by these terms and must be obtained during the specific ordering process.
(4) Required contract confirmations are provided on a durable medium.
§ 23 Electronic withdrawal function
Where the law requires an electronic withdrawal function for a contract concluded online through Deposito, it is made easily accessible during the applicable withdrawal period.
This rule does not apply to contracts for which no statutory right of withdrawal exists.
§ 24 Account deletion
(1) Users may request deletion of their Deposito account through the function provided.
(2) Profile and content data no longer required are removed or anonymised according to the technical deletion and anonymisation processes.
(3) Account deletion does not retrospectively cancel existing payments or contracts.
(4) Data that must continue to be stored under statutory retention obligations or to establish, exercise or defend legal claims may be retained with restricted access for the required period.
§ 25 Suspension and termination
(1) Users may terminate their account according to the account functions offered.
(2) Deposito may restrict or suspend an account or individual functions for significant or repeated violations of these terms or statutory provisions.
(3) The decision takes account of the nature, severity, frequency and consequences of a violation.
(4) Statutory obligations to give reasons or provide remedies remain unaffected.
§ 26 Availability
(1) Deposito endeavours to provide the platform with high technical availability.
(2) Uninterrupted availability at all times cannot be guaranteed.
Temporary restrictions may arise, in particular, from maintenance, security measures, technical faults or circumstances beyond the operator’s direct control.
(3) Existing payment, ticket and contract data generally remain unaffected by temporary display or connection problems.
§ 27 Liability
(1) Deposito has unlimited liability:
a) for intent and gross negligence,
b) for damage from injury to life, body or health,
c) in cases of mandatory statutory liability.
(2) For a slightly negligent breach of essential contractual obligations, liability is limited, where legally permissible, to foreseeable damage typical of this type of contract.
(3) Further mandatory statutory rights remain unaffected.
(4) Where Deposito merely provides technical platform intermediation, this alone does not make it liable for actually holding an event offered by an independent organiser or for the legality of user-provided content.
§ 28 Data protection
Information on the processing of personal data is provided in Deposito Live’s separate privacy policy.
The privacy policy is accessible through the platform at any time.
§ 29 Changes to these terms
(1) Changes to these terms have prospective effect only.
(2) Users are informed according to statutory requirements of changes materially affecting existing contractual relationships.
(3) Applicable special statutory rules for online intermediation services are taken into account for business users.
Any advance notice period required by law is observed.
§ 30 Applicable law
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory rules of the country of their habitual residence.
§ 31 Jurisdiction
Statutory rules of jurisdiction apply to consumers.
Where the contracting party is a merchant, a legal person under public law or a special fund under public law and a jurisdiction agreement is legally permissible, Leipzig may be agreed as the place of jurisdiction.
§ 32 Severability
If individual provisions of these terms are or become wholly or partly invalid, the remaining provisions remain effective.
Statutory provisions replace an invalid provision.
